TERMS AND CONDITIONS

1. ROLE OF THE PLATFORM

Medala acts solely as a technology platform that facilitates access to healthcare-related services offered by independent licensed healthcare providers, partner clinics, pharmacies, laboratories, logistics providers, and related service providers.

Yngen Technology Corp. and Medala:

• do not practice medicine;
• do not provide medical advice or diagnosis;
• do not prescribe medications;
• do not operate as a pharmacy unless otherwise expressly stated;
• and do not directly dispense medications.

All healthcare services, consultations, diagnoses, prescriptions, and treatment decisions are rendered solely by duly licensed independent healthcare professionals.

All medicines and pharmaceutical products are dispensed and fulfilled solely by duly licensed partner pharmacies and drugstores.

Healthcare providers available through the Platform are independent professionals and are not employees, agents, or representatives of Yngen Technology Corp. unless expressly identified otherwise.

Healthcare providers retain sole professional responsibility for medical advice, diagnoses, prescriptions, treatment recommendations, and healthcare decisions rendered through or facilitated by the Platform.

The Platform does not control or interfere with the professional judgment of healthcare providers.

Use of the Platform does not create a doctor-patient relationship between the User and Yngen Technology Corp. or Medala.

Medala is a private healthcare technology platform and is not owned, operated, endorsed, sponsored, or administered by any government agency, local government unit, public hospital, or government healthcare program unless expressly stated for a specific partnership, program, or initiative.

2. ELIGIBILITY

By using the Platform, you represent and warrant that:

• you are at least eighteen (18) years old, or are using the Platform under the supervision or authority of a parent, guardian, or authorized representative;
• you have the legal capacity to enter into these Terms;
• and all information provided by you is true, accurate, and complete.

Users acting on behalf of minors, dependents, or other individuals represent that they possess the necessary legal authority and consent to do so.

3. USER ACCOUNT

Users may be required to register and create an account to access certain services.

Users are responsible for:

• maintaining the confidentiality of account credentials;
• safeguarding passwords and devices;
• restricting unauthorized access to their account;
• and ensuring all activities under their account are authorized.

Users must immediately notify the Platform of any suspected unauthorized access or security breach.

The Platform shall not be liable for losses arising from the User’s failure to secure their account or device.

4. TELEMEDICINE SERVICES

Certain healthcare services available through the Platform may be provided electronically through telemedicine technologies, including:

• video consultations;
• messaging;
• electronic prescriptions;
• electronic medical records;
• and related digital healthcare communications.

By using these services, the User:

• consents to the use of telemedicine technologies;
• acknowledges the limitations and risks associated with remote healthcare services;
• and consents to the electronic collection, storage, transmission, and processing of healthcare-related information.

The User understands that telemedicine may involve:

• technical interruptions;
• connectivity failures;
• delays in communication;
• limitations in physical examination;
• and limitations in diagnosis arising from remote consultations.

5. NO EMERGENCY SERVICES

The Platform is not intended for medical emergencies or life-threatening conditions.

If the User is experiencing severe symptoms, chest pain, difficulty breathing, loss of consciousness, or any urgent medical condition, the User should immediately:

• contact local emergency services;
• proceed to the nearest hospital;
• or seek immediate in-person medical attention.

The Platform does not guarantee emergency medical response or immediate medical intervention.

6. PRESCRIPTIONS AND MEDICATIONS

Certain medicines available through the Platform may require submission of a valid prescription issued by a duly licensed physician.

Partner pharmacies reserve the right to:

• validate prescriptions;
• request supporting documentation;
• refuse fulfillment of orders;
• or decline transactions that do not comply with applicable laws, regulations, or professional standards.

All dispensing decisions remain under the professional responsibility and discretion of the licensed partner pharmacy.

The Platform does not independently determine medical appropriateness, dosage suitability, or prescription validity beyond administrative or operational processes necessary to facilitate order routing and fulfillment.

7. DELIVERY AND FULFILLMENT

Medicine delivery and logistics services may be facilitated through accredited third-party delivery providers.

Delivery timelines are estimates only and may be affected by:

• weather conditions;
• traffic;
• operational limitations;
• service interruptions;
• regulatory restrictions;
• or circumstances beyond reasonable control.

Users are responsible for:

• providing accurate delivery information;
• ensuring an authorized recipient is available;
• and promptly receiving delivered items.

Certain medicines may not be eligible for delivery depending on applicable laws, pharmacy policies, temperature requirements, or location restrictions.

Delivery personnel shall only receive limited information reasonably necessary to facilitate fulfillment and delivery.

8. HEALTH INFORMATION

The Platform may process sensitive personal information and health-related information, including:

• consultation records;
• prescriptions;
• medical history;
• laboratory results;
• medication orders;
• healthcare communications;
• and related healthcare documentation.

Such information shall be processed in accordance with applicable laws, these Terms, and the Platform’s Privacy Policy.

Access to health-related information shall be limited only to authorized personnel, healthcare providers, pharmacies, support teams, and service providers with legitimate healthcare, operational, compliance, security, or support-related purposes.

9. USER RESPONSIBILITIES

Users agree to:

• provide accurate and truthful information;
• comply with all applicable laws and regulations;
• use the Platform only for lawful purposes;
• refrain from submitting fraudulent, misleading, or unauthorized prescriptions;
• and avoid activities that may compromise the Platform’s security or operations.

Users shall not:

• impersonate another person;
• misuse healthcare services;
• attempt unauthorized access to systems or accounts;
• interfere with Platform operations;
• or use the Platform for unlawful or abusive conduct.

10. FEES AND PAYMENTS

Certain services available through the Platform require payment.

All consultations, medicines, laboratory services, delivery fees, and other healthcare-related services available through the Platform are paid services unless expressly stated otherwise through a specific promotion, campaign, partner-sponsored program, or other authorized initiative.

Users agree that:

• all charges and fees displayed during checkout are subject to confirmation;
• payment processing may be facilitated by third-party payment providers;
• pricing, availability, professional fees, medicine costs, delivery fees, and service fees may change without prior notice; and
• the Platform does not guarantee insurance, HMO, government subsidy, discount entitlement, or reimbursement eligibility unless expressly stated by the applicable service provider.

Unless otherwise required by law or expressly stated:

• medicines are generally non-refundable and non-exchangeable;
• missed or cancelled consultations by Users may not be refundable; and
• refunds arising from provider-initiated cancellations shall be subject to applicable review and processing procedures.

11. THIRD-PARTY SERVICES

The Platform may integrate with or facilitate services provided by third parties, including:

• healthcare providers;
• pharmacies;
• laboratories;
• payment processors;
• cloud providers;
• logistics providers;
• and other external partners.

Such third parties operate independently and may be subject to their own policies and terms.

The Platform shall not be responsible for the acts, omissions, products, or services of independent third parties.

12. INTELLECTUAL PROPERTY

All Platform content, software, branding, logos, graphics, interfaces, and related materials remain the property of Yngen Technology Corp. or its licensors.

Users may not:

• reproduce;
• distribute;
• modify;
• reverse engineer;
• or commercially exploit any portion of the Platform without prior written consent.

13. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Yngen Technology Corp. and Medala shall not be liable for:

• medical judgments or treatment decisions made by healthcare providers;
• dispensing decisions made by pharmacies;
• adverse drug reactions;
• inaccurate diagnoses;
• consultation outcomes;
• treatment effectiveness;
• delayed deliveries;
• service interruptions;
• technical failures;
• or actions of independent third-party providers.

Healthcare providers and pharmacies using the Platform operate independently and are solely responsible for the services they provide.

14. TERMINATION

The Platform reserves the right to suspend, restrict, or terminate access to any User who:

• violates these Terms;
• engages in fraudulent or unlawful conduct;
• compromises Platform security;
• or otherwise misuses the Platform.

15. PRIVACY

Use of the Platform is subject to the Platform’s Privacy Policy, which forms part of these Terms.

16. AMENDMENTS

The Platform reserves the right to modify or update these Terms at any time.

Continued use of the Platform after updates constitutes acceptance of the revised Terms.

17. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the appropriate courts of the Philippines.
